These Terms and Conditions (“Terms”) govern your use of the services, tools, and integrations provided by Enterprise Data Solutions LLC (“EDS,” “we,” “us,” or “our”). By using our services, you agree to these Terms.
1. Services
EDS provides managed IT services, including but not limited to: endpoint management, server and network administration, cloud and email management, cybersecurity, help desk support, and IT strategy consulting. Services are provided under a separate service agreement between EDS and the client.
2. Internal Tools and Integrations
As part of our services, EDS may deploy internal tools and integrations that connect to third-party platforms (such as Intuit QuickBooks Online, Microsoft 365, Kaseya, and HubSpot) to automate workflows, generate reports, and manage your IT environment. These tools are operated by EDS on your behalf and are not standalone products available for separate use or distribution.
3. Authorization and Access
By authorizing EDS to connect to your third-party accounts, you:
- Grant EDS permission to access, read, and where necessary, modify data within those platforms solely to deliver the agreed-upon services;
- Confirm that you have the authority to grant such access;
- Acknowledge that you may revoke this access at any time by contacting EDS or disconnecting the integration directly within the third-party platform.
4. Client Responsibilities
You agree to:
- Provide accurate and current information necessary for us to deliver services;
- Maintain the confidentiality of your account credentials;
- Notify EDS promptly of any unauthorized access to your accounts;
- Comply with the terms of service of any third-party platforms connected through our tools.
5. Data Ownership
You retain full ownership of all data stored in your accounts and systems. EDS does not claim ownership of any client data. Data accessed through our integrations is used solely to provide services and is handled in accordance with our Privacy Policy.
6. Acceptable Use
You may not use our services or tools to:
- Violate any applicable law or regulation;
- Infringe on the intellectual property rights of others;
- Transmit malicious software or engage in any activity that disrupts our services;
- Attempt to gain unauthorized access to systems or data beyond the scope of your authorization.
7. Service Availability
We strive to provide reliable and continuous services. However, we do not guarantee uninterrupted availability. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Scheduled maintenance will be communicated in advance when possible.
8. Fees and Payment
Fees for services are outlined in your service agreement with EDS. These Terms do not modify the payment terms of your service agreement. Failure to pay may result in suspension or termination of services.
9. Disclaimer of Warranties
OUR SERVICES AND TOOLS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO EDS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless EDS, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or misuse of our services.
12. Termination
Either party may terminate services in accordance with the service agreement. EDS reserves the right to suspend or terminate access to tools and integrations immediately if you breach these Terms. Upon termination, your right to use our tools ceases, and we will securely handle any remaining data per our Privacy Policy.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active clients via email or through our client portal. Continued use of our services after changes constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of California. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Orange County, California.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and EDS regarding the subject matter herein.
